Terms of Service

1. Agreement to Terms

By accessing or using Scindo (“the Service”), operated by oneSlash (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Scindo is a context continuity platform that bridges team decisions and code execution. The Service enables teams to discuss, make decisions, and produce structured plan documents and context files that AI coding tools can consume directly. Features include:

  • Team messaging (channels, threads, direct messages)
  • AI agent interactions with configurable autonomy levels and specialist roles
  • Task management with plan documents, signoff workflows, and subtasks
  • Code repository integration (GitHub) — reading code, creating branches, opening PRs, tracking CI
  • Project management sync (Jira, Linear, Notion) with bidirectional status updates
  • Design tool integration (Figma) for reading design files and tokens
  • Knowledge base and document management
  • Webhook integrations (inbound and outbound)
  • Developer surfaces (VS Code extension, CLI)
  • Bring Your Own Agent (BYOA) via API key or MCP endpoint

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Workspaces and Membership

The Service is organized into workspaces. The workspace creator is the owner and is responsible for managing membership and settings. Workspace owners may invite members and control access levels (owner, admin, member, guest). All members of a workspace share access to channels, threads, tasks, and documents within that workspace. Guest members have read-only access to specific channels.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity of the Service
  • Upload malicious code or content
  • Use the Service to send spam or unsolicited messages
  • Violate the intellectual property rights of others
  • Circumvent usage limits or billing controls
  • Use automated tools to scrape or extract data from the Service

6. Your Content

You retain ownership of all content you create through the Service, including messages, plan documents, tasks, and knowledge base entries. By using the Service, you grant us a limited license to store, process, and display your content as necessary to provide the Service. We do not claim ownership of your messages, code, documents, or other materials.

Plan documents and context files generated by the Service from your team discussions are your property. When committed to your connected repository, they become part of your codebase and are governed by your repository's own access controls.

7. AI-Generated Content

The Service includes AI agent features that generate content such as plan documents, code suggestions, review feedback, task summaries, and decision captures. AI-generated content is provided “as is” without warranty of accuracy or completeness. You are responsible for reviewing and validating any AI-generated content before use, including plan documents used as input to other AI coding tools. We do not guarantee that AI outputs are free from errors, biases, or inaccuracies.

8. Repository Integration

When you connect a code repository, the Service may read source code, create branches, open pull requests, commit context files, and track CI pipeline status. You authorize these actions by connecting your repository and configuring agent permissions. You may revoke repository access at any time through your workspace settings.

9. Third-Party Integrations

When you connect project management tools (Jira, Linear, Notion) or design tools (Figma), you authorize the Service to read and, where applicable, update data in those services on your behalf. This includes reading issues, updating status, posting comments, and importing content. You may disconnect integrations at any time. We are not responsible for the availability or accuracy of third-party services.

10. Webhooks

The Service supports inbound webhooks (receiving data from external services) and outbound webhooks (sending event data to your endpoints). You are responsible for the security and configuration of your webhook endpoints. Outbound webhooks use HMAC signing for payload verification. We are not liable for data transmitted to endpoints you configure.

11. Billing and Payment

Paid plans are billed per workspace on a monthly or annual basis. All workspace members are included in the workspace plan at no additional per-seat cost. Usage limits (AI responses, repos, storage) vary by plan tier. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of your workspace.

12. Cancellation and Refunds

You may cancel your subscription at any time.

  • First 14 days: Full refund, no questions asked.
  • Monthly plans: No partial refund. Your access continues through the end of the current billing period.
  • Annual plans: Prorated refund for remaining full months after the current month.

13. Data Retention and Export

Conversation retention is configurable per workspace. Context files committed to your repository are retained according to your repository's policies. Upon account termination, we will make your data available for export for 30 days. After this period, data will be deleted in accordance with our Privacy Policy.

14. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Context files already committed to your repository remain in your repository.

15. Limitation of Liability

To the maximum extent permitted by law, oneSlash shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

16. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via the Service or email. Continued use after changes constitutes acceptance of the updated Terms.
